c) the rules, regulations, guidelines and clarifications framed there under, including the (Indian) Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Information) Rules, 2011 (the “SPI Rules”), the (Indian) Information Technology (Intermediaries Guidelines) Rules, 2011 (the “IG Rules”), and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

"User" encompasses any entity, whether an individual or an organization, engaging with and leveraging EMC.

5. Registration and Account Security
To gain access to our services, users are required to complete the registration process.
For the purpose of registration, you may have to provide your personal information, including but not limited to, name, e-mail ID, phone number and other details.

V. various rights available to you
in respect of such information.

8. Intellectual Property

You shall not modify the Content or reproduce, display, publicly perform, distribute, or otherwise use the Content in any way for any public or commercial purpose or for personal gain.
You shall not access EMC for purposes of monitoring availability of services, performance or functionality, or for any other benchmarking or competitive purposes.
We reserve the rights to display sponsored advertisements on EMC. Without prejudice to the status of other content, we will not be liable for the accuracy of information or the claims made in the sponsored advertisements/ listings. We do not encourage you to visit the sponsored listings pages or to avail any services from them. We will not be liable for the services of the providers of the sponsored listings.
9. User Responsibilities
Users are required to
provide accurate and up-to-date information.
Users are obliged to
diligently observe and comply with all applicable laws, regulations, and statutory
provisions.
Users are required to
exercise due diligence and care when using our services.
Users must promptly report
any suspicious or unauthorized activities related to their account.
As mandated by Regulation
3(2) of the IG Rules, Users are hereby informed that that they are not permitted to host,
display, upload, modify, publish, transmit, update or share any information that:
I. belongs to another person and to which the User does not have any right to;
II. is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic,
pedophilic, libelous, invasive of another's privacy, hateful, or racially, ethnically
objectionable, disparaging, relating or encouraging money laundering or gambling, or
otherwise unlawful in any manner whatever;
III. harm minors in any way;
IV. infringes any patent, trademark, copyright or other proprietary rights;
V. violates any law for the time being in force;
VI. deceives or misleads the addressee about the origin of such messages or communicates
any information which is grossly offensive or menacing in nature;
VII. impersonate another person;
VIII contains software viruses or any other computer code, files or programs designed to
interrupt, destroy or limit the functionality of any computer resource;
IX. threatens the unity, integrity, defence, security or sovereignty of India, friendly
relations with foreign states, or public order or causes incitement to the commission of
any cognisable offence or prevents investigation of any offence or is insulting any
other nation.
Users are also prohibited
from:
I. violating or attempting to violate the integrity or security of our Content;
II. transmitting any information (including job posts, messages and hyperlinks) on or
through EMC that is disruptive or competitive to the provision of Services by us;
III. intentionally submitting on EMC any incomplete, false or inaccurate information;
IV. making any unsolicited communications to other Users;
V. using any engine, software, tool, agent or other device or mechanism (such as spiders,
robots, avatars or intelligent agents) to navigate or search EMC;
VI. attempting to decipher, decompile, disassemble or reverse engineer any part of the
website;
VII. copying or duplicating in any manner any of the Content or other information
available from the website;
VIII. framing or hot-linking or deep linking any Content, unless otherwise expressly
granted permission.
We may disclose or
transfer
user-generated information to our affiliates or governmental authorities in such manner
as
permitted or required by applicable law, and you hereby consent to such transfer. We
will
comply with any duly-issued government or court directions to disable access to the
user-generated information, should it be found to be illegal by a competent governmental
authority.

other person on or through EMC;
II. any unauthorized access to or alteration of your transmissions or data; or
III. any other matter relating to EMC.
12. Indemnity
User agrees to indemnify and hold harmless EMC, its affiliates, officers, directors, employees, consultants, licensors, agents, and representatives from any and all third party claims, losses, liability, damages, and/or costs (including reasonable attorney fees and costs) arising from User’s access to or use of services, violation of this Agreement, or infringement, or infringement by any other User of his/her/its account, of any intellectual property or other right of any person or entity. We will notify you promptly of any such claim, loss, liability, or demand, and in addition to your foregoing obligations, you agree to provide us with reasonable assistance, at your expense, in defending any such claim, loss, liability, damage, or cost.
13. Governing Law and Dispute Resolution
The provision regarding the "Governing Law" stipulates that these terms and conditions are subject to and governed by the legal framework and regulations established by the laws of India.
Any legal disputes, questions, or concerns arising from or related to these terms and conditions, the applicable legal principles, interpretations, and resolutions will be determined based on the laws of India.
14. Changes to Terms
We retain the prerogative to modify this User Agreement periodically, and such changes may occur without prior notice. It is your responsibility to periodically review this User Agreement to stay informed about any alterations. Your ongoing usage of this website following such modifications will be considered an acknowledgment and acceptance of the updated terms and conditions.
15. Change to Refund & Cancellation Policy
At EaseMyCompliance, we take immense pride in our services and are dedicated to ensuring your satisfaction with our offerings and support. We continuously enhance our services to deliver excellence in accounting, financial, and secretarial services through our online platforms.
In the rare event that you are dissatisfied with our services or if we are unable to deliver on time, please reach out to us promptly to enable our refund process. Our team will review your case, and if found genuine, we will process your refund within 5-7 working days. We are committed to resolving any issues through corrections, refunds, or credits for future transactions with EaseMyCompliance. Your satisfaction is our top priority.
16. Factors Outside our Control
We are unable to assure specific outcomes for your individual procedure. For instance, the rejection of an application on government portals due to legal reasons beyond EMC’s scope cannot be guaranteed against. Furthermore, government delays or technical issues with platforms like the MCA website, Income Tax website, etc., may result in extended processing times. Additionally, it's important to note that EMC cannot guarantee the results or consequences of services provided by our Associates on the nearest Expert platform, who are not affiliated with EMC. These challenges are beyond our control and do not fall under our guarantee.
17. Force Majeure
EMC shall not be deemed to have violated its Satisfaction Guarantee Policy or breached any terms of service, nor shall it be held accountable to the Client for any cessation, interruption, or delay in fulfilling its obligations. Such delays may occur due to circumstances beyond our control, including but not limited to earthquakes, floods, fires, natural disasters, government actions, legal changes, explosions, wars, terrorism, labor disputes, or similar events, all collectively referred to as "Force Majeure Events." These events, whether anticipated or unforeseen, fall outside the scope of our reasonable control.
18. Disputes Resolution
Any dispute, claim or controversy arising out of or relating to this User Agreement, including the determination of the scope or applicability of this User Agreement to arbitrate, or your use of EMC or the services or information to which it gives access, shall be determined by arbitration in India, before a sole arbitrator appointed by us. Arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, 1996. The seat of such arbitration shall be Bengaluru. All proceedings of such arbitration, including, without limitation, any awards, shall be in the English language. The award shall be final and binding on the parties to the dispute.
Subject to the above Paragraph, the courts at Bengaluru, India shall have exclusive jurisdiction over any disputes arising out of or in relation to this User Agreement, your use of EMC or the Services or the information to which it gives access.
19. Severability and Waiver
Severability
Should any provision within these Terms be deemed unenforceable or invalid, that specific provision will be adjusted and construed to achieve its intended objectives to the maximum extent permissible under relevant laws. Meanwhile, all remaining provisions will remain in full force and effect.
Waiver
Unless otherwise stated here, the decision not to exercise a specific right or demand the fulfilment of an obligation under these Terms shall not impede a party's capability to enforce said right or seek such fulfilment at any point in the future. Furthermore, the waiver of one breach shall not serve as a waiver of any subsequent breaches.
